Condominium purchase — foreign buyer

Property Law

SITUATION

An Australian buyer was purchasing a condominium unit in Bangkok and had received a draft sale and purchase agreement from the developer's lawyer. The buyer was unfamiliar with Thai property documentation and uncertain whether the title was fully clear.

WHAT PAVONIS DID

A full title search confirmed a Chanote title with no encumbrances. The sale and purchase agreement was reviewed and two provisions — relating to late completion and foreign ownership ratio — were identified as requiring amendment. Pavonis negotiated the amendments and attended the land office on completion.

OUTCOME

The buyer completed the purchase with confidence in the title and on terms that properly reflected the amended agreement. Engagement duration: 6 weeks.

Governance review — foreign-invested company

Corporate Governance

SITUATION

A technology company with a majority Thai shareholder and a minority German investor needed to formalise its governance structure ahead of a funding round. The existing documentation was minimal and some provisions were inconsistent with the current shareholder arrangement.

WHAT PAVONIS DID

Pavonis reviewed the existing articles and shareholder documentation, identified inconsistencies, and prepared an updated set of articles and a board governance protocol aligned with Thai company law requirements. Regulatory filings with the Department of Business Development were prepared.

OUTCOME

Updated documentation in place within 5 weeks. The company proceeded to its funding round with governance documentation that satisfied investor due diligence requirements.

Cross-border estate planning — retired couple

Family & Succession

SITUATION

A Swedish couple with a long residence in Thailand held assets in both countries — a condominium, savings accounts, and a family company. They had no wills in place and wanted to put a proper succession plan in order, with particular attention to provisions for their adult children.

WHAT PAVONIS DID

Over five sessions, Pavonis reviewed the asset structure, prepared wills covering Thai-situated assets, arranged coordination with Swedish counsel for the Swedish portion, and prepared beneficiary designations. Guardianship considerations for a grandchild were also addressed.

OUTCOME

A complete succession plan covering Thai and Swedish assets, with wills formally executed under Thai law and complementary documentation prepared in Sweden. Engagement duration: 8 weeks.
